per Section 3(20) of the Companies act,2013, the company can be defined as an entity which is registered under the Companies Act,2013 or any other Previous\u00a0 Company Laws.<\/span><\/p>\n<p><strong>The company can be Broadly Categorized as follows<\/strong><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><a style=\"font-weight: 400;\">Public Limited Company<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">One Person Company<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Companies with Charitable Purpose (Section-8)<\/span><\/li>\n<\/ul>\n<p><strong>The Above Prescribed Companies can be divided by the following (Section-8)<\/a><\/li><\/ul><\/nav><\/div>\n<h2><span class=\"ez-toc-section\" id=\"Company_Limited_by_Shares\"><\/span><b>Company Limited by Shares<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">A company limited by shares means the company where the liability of the members of the company is limited by the memorandum of the amount, if any, unpaid on the respective shares held by them.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Company_Limited_by_Guarantee\"><\/span><b>Company Limited by Guarantee<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">A company limited by Guarantee means the company where the liability of the members of the company is limited by the memorandum to such amount, which is guaranteed by the members to contribute to the assets of the company in case of wound up.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Unlimited_Company\"><\/span><b>Unlimited Company<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">Unlimited Company is the company where the liability of the members is unlimited.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Private_Limited_Company\"><\/span><b>Private Limited Company<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">As per Section 3(68) of<a href=\"https:\/\/aktassociates.com\/blog\/incorporation-of-company\/\"> companies act,2013<\/a>, having a <\/span><span style=\"font-weight: 400;\">minimum prescribed paid-up share capital.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Private limited companies have certain restrictions\u00a0<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Restriction on Transfer of Shares (shares cannot be freely transferable)<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Restricts on a number of members to 200.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Prohibition on the invitation to the public for the subscription of shares<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Number of directors requirement<\/span><\/li>\n<\/ul>\n<p><strong>A private limited company can be formed as the following types :<\/strong><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A company limited by shares<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company Limited by Guarantee (with or without capital)<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Unlimited Company (with or without capital)<\/span><\/li>\n<\/ul>\n<p><strong>Persons Required<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">Two or more persons are required to form a private limited company.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In case number of persons required falls below two and the company carries it\u2019s business operations for a period of 6 months or more, the existing member of the company carrying business operations for those six months and he is aware of the fact that the company is carrying it\u2019s business operations with less than two, he shall be severally liable and sued for the whole debts contracted during the period after six months.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Public_Limited_Company\"><\/span><b>Public Limited Company<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">As per section 3(71) of companies act,2013, a public company is defined as the company which is not a private company and having a <\/span><span style=\"font-weight: 400;\">minimum paid-up share capital as may be prescribed.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Restriction on the number of members<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Minimum and Maximum number of directors<\/span><\/p>\n<p><strong>A public limited company can be formed as the following types :<\/strong><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">A company limited by shares<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Company Limited by Guarantee (with or without capital)<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Unlimited Company (with or without capital)<\/span><\/li>\n<\/ul>\n<p><strong>Persons required<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">Seven or more persons are required to form a <a href=\"https:\/\/aktassociates.com\/blog\/public-limited-company-registration\/\">Public limited company<\/a><\/span><\/p>\n<p><span style=\"font-weight: 400;\">In case number of persons required falls below seven and the company carries it\u2019s business operations for a period of 6 months or more, the existing members of the company has carrying it\u2019s business operations for those six months and they have been aware of the fact that the company is carrying it\u2019s business operations with less than seven members, they shall be severally liable and severally sued for the whole debts contracted during the period after six months.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"One_Person_Company\"><\/span><b>One Person Company<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">As per section 3(62) of the companies act, 2013, a one-person company has been defined as a company which has only one person as a member.<\/span><\/p>\n<p><strong>Persons Required<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">Only one person (who is a citizen and resident of India) is required to form a One Person Company.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In the case of One Person Company, Nominee (who is a citizen and resident of India) should be appointed and the nominee name shall be specified in the Memorandum Of Association (MOA) of the company who shall take his place in case of his Incapacity to contract or Death.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The words OPC shall be printed in brackets below the name of <a href=\"https:\/\/aktassociates.com\/blog\/one-person-company-registration-procedure-documents-india\/\">One Person Company<\/a>.<\/span><\/p>\n<h2><a 400;\">As per the provisions of the Companies act,2013, The Companies which are formed to promote the charitable objects of art, sports, education, commerce, social welfare, religion, charity, etc..,<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Companies formed under section 8 of companies act, should use profits only for the purpose of the promotion of its charitable objects of the
