Under rule 3 sub-rule (da), \u2018Nidhi\u2019 means a company which fulfills the rules made by the Central Government and which would be incorporated as Nidhi with the following objects:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Developing the habit in the lower section of the society to save funds for the future; and<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Accepting the deposit from its members and lend the same amount to other members of the company for mutual benefit&#8230;<\/span><\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Rule_3A_%E2%80%93_Declaration_of_Nidhi_Company\"><\/span><b>Rule 3A \u2013 Declaration of Nidhi Company<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">The general meaning of Nidhi is Treasure. In the definition, there is a new rule has been added as \u201cRule 3A\u201d which states that if any public company wants to declare it as Nidhi company then they have to make an application in Form NDH-4. When the Central Government has satisfied that the company has met all the requirements, then the government would notify such company as Nidhi in the official Gazette.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">All the Nidhi companies which has been registered as per the provision of section 406 of companies act, 2013 or after the commencement of Nidhi Amendment Rules 2019, would have to file an application in Form NDH-4 within a period of 60 days from the date of 1 year from the date of incorporation or within such extended time as granted to the Regional directors.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">However, if the company has not complied with the requirement of filing of Form NDH-4, then, the company would not be allowed to file the following forms:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Form No. SH-7 \u2013 Notice of any alteration of the <\/span><span style=\"font-weight: 400;\">share capital<\/span><span style=\"font-weight: 400;\"> to the Registrar\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Form No. PAS-3 \u2013 Return of allotment<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Rule_23A\"><\/span><b>Rule 23A<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">Rule 23A stipulates the following types of the company would be required to file the declaration in Form NDH-4:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The company as referred in rule 2(b) i.e., the company which are functioning as per the\u00a0 Nidhi company but such companies are either not applied for registration as Nidhi or has applied and is awaiting for the Nidhi status; and<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Every Nidhi company which has been incorporated under the Companies Act 2013 before the commencement of the Nidhi Amendment Rules 2019.<\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"The_time_period_within_which_the_declaration_need_to_be_filed\"><\/span><b>The time period within which the declaration need to be filed:<\/b><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"font-weight: 400;\">The above-referred companies would be required to file a declaration in Form NDH-4 within the later of the following dates:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">1 year from the date of incorporation of the<a href=\"https:\/\/aktassociates.com\/blog\/nidhi-company-registration\/\"> Nidhi company<\/a>; or<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">6 months from the date of commencement of the Nidhi Amendment Rules 2019.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">If in case, the above-specified companies fail to file the declaration within due time, then such defaulting company would not be allowed to file the following forms:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Form No. SH-7 \u2013 Notice to the Registrar of any alteration of the share capital<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Form No. PAS-3<\/span><span style=\"font-weight: 400;\"> \u2013 Return of allotment.<\/span><\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Rule_23B\"><\/span><b>Rule 23B<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">In case the company wants to update their status which has been registered as Nidhi under the companies act, 1956, is also required to file the declaration in Form NDH-4.\u00a0<\/span><\/p>\n<h3><a href=\"https:\/\/aktassociates.com\/start-a-business\/nidhi-company-registration\"><img loading=\"lazy\" decoding=\"async\" class=\"size-full wp-image-1734 https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/09\/Nidhi-Company-Registration-2-1-20x4.png 20w\" sizes=\"(max-width: 700px) 100vw, 700px\" \/><\/a><\/h3>\n<h3><span class=\"ez-toc-section\" id=\"The_time_period_within_which_the_declaration_need_to_be_filed-2\"><\/span><strong>The time period within which the declaration need to be filed:<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"font-weight: 400;\">These companies would be required to file the declaration within a period of 6 months from the date of commencement of Nidhi Amendment Rules 2019.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">If the company files the declaration after the time as specified above referred period, then, the company shall be required to pay late fees as per the Companies (Registration Offices and Fees) Rules 2014.<\/span><\/p>\n<p><strong>If the company has not filed the declaration, then, the company would not be allowed to file the following forms:<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">Form No. SH-7<\/span><span style=\"font-weight: 400;\"> \u2013 Notice to the Registrar of any alteration of the share capital<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Form No. PAS-3 \u2013 Return of allotment.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">It is to be noted that Form NDH-4 should be
