class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">\u00a0Recently Ministry of Corporate Affairs (MCA) has issued Notification Notified Certain Companies to Comply with Active Status.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">As per the amended Rules, Every Company incorporated <\/span>on or before December 31, 2017,<span style=\"font-weight: 400;\"> is required to file eForm ACTIVE (Active Company Tagging Identities and Verification) or INC 22A. The original deadline for the form was April 25, 2019, which was extended up to June 15, 2019<\/span><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p><img loading=\"lazy\" decoding=\"async\" class=\"wp-image-2125 size-full aligncenter\" src=\"https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/ACTIVE-Non-Compliant-Company\u2019s-Director-1.png\" alt=\"ACTIVE Non-Compliant Company\u2019s Director\" width=\"700\" height=\"400\" srcset=\"https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/ACTIVE-Non-Compliant-Company\u2019s-Director-1.png 700w, https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/ACTIVE-Non-Compliant-Company\u2019s-Director-1-300x171.png 300w, https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/ACTIVE-Non-Compliant-Company\u2019s-Director-1-20x11.png 20w\" sizes=\"(max-width: 700px) 100vw, 700px\" \/><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Effects_Of_Complying_E_form_Active\"><\/span><b>Effects Of Complying E form Active\u00a0<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">The Companies which are able to successfully file e-form <\/span>INC 22A<span style=\"font-weight: 400;\"> are now marked as <\/span>\u2018Active Compliant\u2019 Company<span style=\"font-weight: 400;\"> where the rest of the Companies which have failed to file the Form is known as <\/span>Active Non-Compliant.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Applicability_of_E_form_Active\"><\/span><b>Applicability of E form Active:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">A company that is incorporated on or before the 31st December 2017 shall file the particulars of the Company and regarding its registered office(RO), in ACTIVE on or before <\/span><span style=\"font-weight: 400;\">June 15, 2019 (Extended Date).<\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"Exempted_CompaniesCompany_Not_Required_to_File_Eform_Active\"><\/span><b>Exempted Companies(Company Not Required to File Eform Active<\/b><b>):-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"font-weight: 400;\">As per the above discussion, all companies registered on or before 31 Dec 2017 required to file Active Eform.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">However, the following companies are exempted for filing eForm ACTIVE:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(a) Companies which have been struck off<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(b) Companies under the process of striking off<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(c) Companies under liquidation<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(d) Companies which are amalgamated or dissolved<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Restrictions_On_filing_Active\"><\/span><b>Restrictions On filing Active:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">Any company which has not filed its following due documents will be restricted to file Active Eform<\/span><span style=\"font-weight: 400;\">\u00a0unless such company is under management dispute and the registrar has recorded the same on the register.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(i) financial statements under section 137 or<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(ii) <a href=\"https:\/\/aktassociates.com\/blog\/private-limited-company-annual-filing-compliances-procedure\/\">annual returns<\/a> under section 92 or<\/span><\/p>\n<p><span style=\"font-weight: 400;\">(iii) both(i) and (ii)<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Fees_for_Active_EFiling\"><\/span><b>Fees for Active EFiling:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">As such there are no prescribed fees as per <\/span><span style=\"font-weight: 400;\">Companies<\/span><span style=\"font-weight: 400;\"> Third Amendment Rules, 2018, only if Eform Active is filed on or before 15 June 2019.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">However,<\/span><span style=\"font-weight: 400;\"> \u00a0Forms filed after the mentioned due date shall be allowed to be filed along with a fee of Rs<\/span><b>. <\/b>10,000 only<b>.<\/b><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Consequences_on_Non-filing\"><\/span><b>Consequences on Non-filing:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">In case ACTIVE is not filed, the compliance status for such companies shall be marked as \u2018ACTIVE Non-compliant\u2019 and also liable for action under section 12(9) of the Act and such Companies shall not be eligible to file the following forms:<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\"> SH-07 (Change in Authorized Capital)<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> PAS-03 (Change in Paid-up Capital)<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> DIR-12 (Changes in Director except for cessation)<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> INC-22 (Change in Registered Office)<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> INC-28 (Amalgamation, de-merger\u00a0<\/span><\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Mandatory_Attachments_for_Active_Eform\"><\/span><b>Mandatory Attachments for Active Eform:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">It is mandatory to attach the photograph of both:-<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Registered Office(<\/span><span style=\"font-weight: 400;\">showing external building and inside the office, wherein at least one director\/KMP who has affixed his\/her digital signature to this form<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Digitally_Sign_E_form_Active\"><\/span><b>Digitally Sign E form\u00a0 Active:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ol>\n<li><span style=\"font-weight: 400;\">i) In the case of <a href=\"https:\/\/aktassociates.com\/blog\/one-person-company-opc-features\/\">One Person Company(OPC)<\/a> &#8211; One Director; or In the case of Company other than One Person Company &#8211; Two Directors or One Director and KMP; and<\/span><\/li>\n<li><span style=\"font-weight: 400;\">ii) For all companies \u2013 A Practising Professional.<\/span><\/li>\n<\/ol>\n<h2><span class=\"ez-toc-section\" id=\"Dormant_Company_to_file_INC-22A\"><\/span><b>Dormant Company to file INC-22A:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">No, Dormant companies are not required to file INC-22A. They are not required to file INC-22A.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"Liability_for_LLPForeign_Company\"><\/span><b>Liability for LLP\/Foreign Company:-<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">No there is no Liability prescribed for the LLP\/Foreign Companies to file Active E form. Only the company\u2019s fulfilling the criteria are only required to file Form (INC -22A)<\/span><\/p>\n<h2><a href=\"https:\/\/aktassociates.com\/amendments-in-private-limited-company\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter wp-image-2122 size-full\" src=\"https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/Changes-in-Private-Limited-Company.png\" alt=\"Changes in Private Limited Company\" width=\"700\" height=\"150\" srcset=\"https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/Changes-in-Private-Limited-Company.png 700w, https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/Changes-in-Private-Limited-Company-300x64.png 300w, https:\/\/aktassociates.com\/blog\/wp-content\/uploads\/2019\/10\/Changes-in-Private-Limited-Company-20x4.png 20w\" sizes=\"(max-width: 700px) 100vw, 700px\" \/><\/a><\/h2>\n<h2><span class=\"ez-toc-section\" id=\"Application_for_Closure_of_ACTIVE_Non-compliant_Company\"><\/span><b>Application for Closure of ACTIVE Non-compliant Company<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-weight: 400;\">For the company has a status of\u00a0 <\/span>ACTIVE Non-compliant Company<span style=\"font-weight: 400;\"> can file an application in the prescribed form for the <\/span><span style=\"font-weight: 400;\">closing of a company as a defunct company<\/span><span style=\"font-weight: 400;\">\u00a0provided the following criteria are fulfilled:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Companies that are not started any business within one year of its incorporation<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Companies where the subscribers to the memorandum have not paid the subscription money within a period of one hundred and eighty days from the date of incorporation<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Companies that are not carrying on any business or operation for a period of two immediately preceding financial years.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">All the directors must have filed the <a href=\"https:\/\/aktassociates.com\/blog\/din-ekyc-due-date-required-documents-procedure\/\">DIN KYC<\/a> and updated the DIN status as approved.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">All the directors of the company should not be Disqualified under Sec.164 (2) of the Companies Act.
