Which Private limited Company needs to File Form INC 22A to be Active Compliant?
Every Company incorporated on or before 31st December 2017 need to file Form No INC-22A to retain the Active Compliant Status. This form needs to be filed with Registrar of Companies by 25th April 2019.
What are the prerequisites for filing Form INC 22A?
Before the process to file form INC 22A is initiated it needs to be checked that
- DIN of all the Directors needs to be in “ Approved” Status. i.e. DIR 3 KYC form should be filed and the DIN should not be showing a “Deactivated Status.
- Further Director should not be disqualified U/s 164(2) of Companies Act 2013.
- All the Financial statements or the due annual returns or both has been duly filed

The form INC 22A is an e-form, which can be downloaded from MCA 21 Website.
Which are companies, which has been restricted from filing INC 22A (Active)?
Any such companies which have not filed its financial statements or the annual return or both with the registrar unless such company is under management dispute and same has been recorded by Registrar of Companies in the Register.
What happened if the form No INC 22A is not filed?
In case of Non-filing of form INC 22A within due date of 25th April 2019 there will be the following consequences: –
- The company will be marked as “ Active Non-Compliant”
- The ROC can remove/strike off Name of the company
- No filing of forms without uploading form 22A
- Form No SH-07 – For change in authorized capital
- Form No PASS-03 – Change in Paid-up Capital
- Form No DIR12 – Change in Directors except the Cessation of Director
- Form No INC 22 – Change in Registered office
- Form No INC- 28 – Amalgamation or Demerger of Companies

The Procedure is the same except there will be a late filing Penalty of Rs 10k
