Procedure

NGO registration may be done as:

  • In the form of a Trust under The Indian Trusts Act, 1882
  • In the form of a Society under Societies Registration Act, 1860
  • In the form of a Section 8 company under the Companies’ Act, 2013

However the objective of all these three will be the same, which is not for the benefit of the members and the others involved, only are governed by different regulations.

The registration of NGO as a Trust

In India, some states have their own Trust Acts for governing the registration of the Trust but in case if the respective state does not have that then it will be according to the provisions of the Indian Trust Act, 1882

Steps:-
  • The first step is to draft the Trust deed is a non-mandatory but always preferred. Details to be mentioned in Deed are:
  • Name and address of the Settler
  • Name(s) and address(es) of the other trustees
  • Name of the trust (minimum 3 preference shall give)
  • Minimum number of trustees and maximum numbers that are authorized
  • registered office’s address of the trust
  • Objectives of the trust
  • Beneficiaries to the trust
  • Rules and Regulations to be followed by the trust
  • Address for correspondence & proof: Any one of the following: 
    1. Recent electricity bill
    2. Telephone bill 
    3. Property card of the trust location
  • Time Period of Trustees: Tenure may be set as a minimum 1 year to maximum 5 years.
  • Application for 80G and 12A certificate
  • Approach a local registrar & submit the Trust Deed and one photocopy for Trust registration. Two witnesses and settler must be present at the time of registration.

The photocopy is kept by the registrar and the original registered copy of the Trust Deed is returned by the registrar.

The procedure of NGO Registration as a Section 8 Company

Steps:-
  • All relevant required documents for NGO Registration have to be listed.
  • Submit an Application for the DSC and DIN for the proposed Directors.
  • Submit an Application for the name of the company which should be according to the rules provided for the name and also check for name availability for NGO Registration
  • The draft of Memorandum of Association and Articles of Association has to be prepared
  • Submission of an Application in INC-12 form by the individual who is desirous to incorporate the Section 8 Company to the Registrar.
  • After Full submission and verification of the documents, required details and the fee, the Registrar of Companies will issue the Certificate of NGO Registration as a section 8 company.

How to Process Ngo Registration as a Society?

Steps:-
  • Society’s Name has to be selected for NGO Registration.
  • State Government administer the Society Registrations.
  • All the required documents with requisite fee as prescribed in 2 copies should be given to the Registrar of the Societies of the State where the society shall be situated.
  • After scrutiny of the submitted documents, an incorporation certificate will be issued with respective NGO registration number.
  • Approx one month will be the time period for all the process from till the allotment of the Incorporation Certificate to allotment

  • The details of trustees – Name, Father’s name, Age, Residential Address, Occupation, Contact Number and Email address with two latest photographs
  • Any of the address proof of the Trustee & the Settlers.
    1. Voter I.D 
    2. Driving license 
    3. Passport.
    4. Bill of electricity or Receipt  of House tax or
    5. Receipt of water bill or Proof of ownership of property. 
    6. If the property is rented out, then a Rent Deed duly notarized with rent receipts and NOC from the landlord on an Rs.10/- stamp paper.

Documents Required for Section 8 Company

  • Identity proofs and PAN of all the Directors/Promoters
  • Any of the Address proof
    1. Telephone Bill
    2. Electricity Bill
    3. Valid Passport
    4. Driving License
    5. Aadhar
  • Latest passport size photographs of all the Directors/Promoters
  • Rent Agreement or a Leave &License Agreement, of the registered office, if on rent
  • NOC from the proprietor of the Registered Office
  • Proposed registered office’s bills.
  • Form DIR-2 containing the will to act as Director.
  • Director’s particulars in other companies, if any.

  • A covering letter with a request to register the society under the law.
  • A Memorandum of Association
  • Copy of detailed Rules and Regulation of the Society
  • Society All members’ List
  • Affidavits of the office bearers
  • Residential proof of all the members
  • Proof of address of the registered address, or NOC from the Landlord.
